Terms of Service
Version 1.0 · in effect from 9 September 2026
These terms cover your use of Statli, the practice dashboard supplied by Statli Pty Ltd. They apply from the day you accept a quote or pay a setup fee. Plain English throughout — where a clause matters to you commercially, it says so.
1What you are buying
Statli is a hosted dashboard that reads data from your practice management system and other services you connect, and presents it as reports. You get an instance of the software, configured for your practice, for as long as your subscription is current.
You are buying access to software and to the configuration work described below. You are not buying the software itself, a copy of its source code, or an exclusive right to any part of it.
The service includes: your configured instance, all screens included in your tier, logins for your staff, hosting, updates I release, and support at the level in your tier.
2Setup
The setup fee covers connecting your systems, mapping your practitioners, locations and appointment types, configuring goals, validating the first period of data against a period you already know, and training your team.
The setup fee is payable before setup begins and is not refundable once configuration work has started, because it is my time rather than a licence charge. If I cannot make your data work — for example your practice management system turns out not to be supported — I will tell you before starting and refund it in full.
Setup needs things only you can provide: API credentials, decisions about how your stages map, and someone available to answer questions. If those are not forthcoming, setup pauses rather than fails, and the subscription does not start until you are live.
3Fees, GST and payment
Prices are quoted in Australian dollars and exclude GST, which is added where it applies. The tier you pay for is determined by the number of chiropractors practising in your business.
Subscription is billed monthly in advance from the day you go live, or annually in advance where you have taken the annual option.
- If your chiropractor count moves into a higher band, the new rate applies from the next billing period after I tell you. I will always tell you before charging more.
- If it drops into a lower band, tell me and the lower rate applies from the next billing period.
- Invoices are due within 14 days. If an invoice is more than 30 days overdue I may suspend access after giving you 7 days' written notice. Suspension does not delete your data.
I can change subscription pricing with 60 days' written notice. If you don't accept a change, you may cancel before it takes effect and pay nothing further.
4Term, cancellation and what happens after
After setup, the subscription runs month to month. Either of us may cancel with 30 days' written notice. There is no minimum term and no exit fee.
Annual subscriptions run for the twelve months paid. If you cancel mid-term I will refund unused whole months, less the discount you received for paying annually.
On cancellation you get a full export of everything the dashboard holds for you, in a machine-readable format, before access ends. Your instance and its database are permanently deleted within 30 days of your final day. You should revoke the API credentials you issued — I will remind you, but only you can do it.
I may terminate immediately if you use the service unlawfully, or if fees remain unpaid 60 days after the due date. You still get your export.
5Your responsibilities
- You warrant that you are authorised to connect the accounts you connect, and to permit the processing of the data in them.
- You are responsible for your staff's logins and for removing access when someone leaves.
- You are responsible for the accuracy of the data in your source systems. The dashboard reports what is in them; an appointment never marked arrived is reported as not arrived.
- You must not resell, sublicense, or provide access to the dashboard to anyone outside your business, or use it to build a competing product.
6Your data
Your data remains yours. That includes the data read from your connected systems and anything generated from it inside the dashboard.
You grant me a limited licence to store and process that data for one purpose only: running the service for you. I will not sell it, share it with other clinics, use it to benchmark you against anyone, or use it to train machine learning models.
Each clinic runs on a separate instance with its own database. Your data is not pooled with another customer's.
How personal and health information is handled is set out in the Privacy Policy, which forms part of these terms.
7Availability and support
I will use reasonable endeavours to keep the service available, but I do not offer a guaranteed uptime percentage and you should not rely on it for anything time-critical. The dashboard is a reporting tool, not a clinical or operational system — if it is down, your practice still runs.
The service depends on third parties, including your practice management system and its API, and the hosting provider. Where they are unavailable or change their interfaces, the dashboard may be degraded or delayed. I will fix what I can, as quickly as I can.
Support response times are set by your tier. Support covers the dashboard itself; it does not cover your practice management system, your accounting software, or your advertising accounts.
8What this software is not
This matters, so it is stated plainly.
- It is not a medical device and not clinical software. It does not diagnose, treat, monitor or make recommendations about any patient's care. Nothing it displays should inform a clinical decision.
- It is not financial, tax or accounting advice. The profit and budget tools are estimates built from figures you supply and from your accounting software. They are not a substitute for your accountant and must not be used to prepare or lodge anything.
- It is not a system of record. Your practice management system and your accounting software remain the source of truth. Where the dashboard and those systems disagree, they are right.
- It is not employment or performance-management advice. How you use practitioner figures in conversations with your team is entirely your decision and your responsibility, including compliance with employment law and any applicable award or agreement.
9Intellectual property
The software, its design, its metric definitions and its documentation belong to Statli Pty Ltd. Nothing in these terms transfers any of that to you.
If you suggest an improvement and I build it, I own the result and may make it available to other customers. You do not owe me anything for the suggestion and I do not owe you anything for it either.
10Liability
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. Where liability can be limited, my liability for a failure to comply with a consumer guarantee is limited, at my option, to resupplying the service or paying the cost of having it resupplied.
Subject to that, my total liability to you for all claims in any twelve-month period is limited to the fees you paid in that period.
Subject to the first paragraph, I am not liable for loss of profit, loss of revenue, loss of business opportunity, or loss or corruption of data, however caused. Decisions you make about your practice on the basis of these reports are your decisions.
11Changes to the service and to these terms
I develop the dashboard continuously, so screens change and new ones appear. I will not remove a screen your tier includes without at least 60 days' notice.
I may update these terms. For a change that materially affects you, I will give at least 30 days' written notice to your billing contact. Continuing to use the service after that means you accept the change; if you don't, cancel before it takes effect.
12General
I may transfer this agreement to a related or successor entity — for example if the business is sold — by giving you written notice. Your price, your terms and your instance are unaffected, and nothing about the service changes. You may transfer your agreement to a buyer of your practice with my written consent, which I won't unreasonably withhold.
These terms are governed by the laws of Queensland, Australia, and we each submit to the courts of Queensland.
If we disagree, we will each talk to the other before doing anything else. Most things are a misunderstanding about a metric definition.
If any clause is unenforceable, it is severed and the rest stands. A delay in enforcing a right is not a waiver of it.
